NOTICE OF INTENTION Partnering Agreement with Tesla Motors Canada
Notice is hereby given that the Town of Osoyoos intends to provide assistance to Tesla Motors Canada, ULC, (Tesla) under the terms of a Partnering Agreement by leasing land, known civically as 8513 74th Avenue, at less than market rates so that Tesla may provide electric vehicle charging stations on behalf of the Town in accordance with the terms of the Agreement.
Under the terms of the proposed Partnering Agreement, Tesla will have the right to install an electric vehicle charging station containing eleven (11) parking spaces, comprised of eight (8) Tesla charge posts (“Superchargers”) and three (3) dual port Combined Charging System (“CCS”) and/or CHArge de MOve charge posts (“CHAdeMO” together with CCS, collectively, the “Generic Chargers”). The provision of CHArge de MOve charge posts is subject to Tesla’s receipt of funding and approvals from Natural Resources Canada. The Charging Station would be installed at the municipal property located at 8513 74 Avenue, Osoyoos, BC. The initial term of the Agreement would be for a period of five (5) years with two (2) options to renew for an additional five (5) years each.
If 3 generic level 2 chargers are installed at the station there will be no charge for use as current technology doesn’t provide for that but that may change as technology evolves or if those chargers are replaced. If CCS/CHAdeMO chargers are installed there will be a fee for their use based on charge time at market rates (currently $18/hour of charging time).
Pursuant to the Agreement, Tesla shall (at its sole cost and expense): (i) arrange for all permits and approvals required by applicable governing bodies in relation to the Charging Station; (ii) arrange and pay for all utility services associated with the Charging Station; (iii) be responsible for maintaining the Charging Station (or causing such to be maintained), including repair and replacement of the Superchargers and/or the Generic Chargers and related equipment, as necessary; and (iv) be responsible for design and construction of the Charging Station, and for its removal and site restoration following termination of the Agreement.
Pursuant to the Agreement, the Town shall: (i) be responsible for approving the plans and specifications related to construction of the Charging Station; and (ii) maintaining the common areas of the property, including but not limited to, the parking stalls associated with the Charging Station, such as for snow removal and garbage collection. Tesla will pay the Town an annual maintenance fee of $1000, during the first year of the term. The annual maintenance fee will be increased by the increase in CPI each year during the previous 12 months but in no event will the increase equal more that 3% per year. Exhibit A to the draft Agreement shows a plan view sketch of proposed site design.
